By using Nudge, you agree to these terms. Please read them carefully.

The Service

Nudge provides invoice creation and automated payment reminder tools for contractors and small businesses. You are responsible for the accuracy of invoice data you enter and for ensuring you have consent to contact your customers via email and SMS.

Your Account

• You must be 18 or older to use Nudge.
• You are responsible for keeping your login credentials secure.
• One account per person or business.

Subscriptions and Billing

• Nudge offers a 14-day free trial. No credit card required to start.
• After your trial, a paid subscription is required to continue creating invoices.
• Subscriptions are billed monthly and renew automatically. You can cancel anytime.
• Refunds are handled on a case-by-case basis — contact us within 7 days of a charge.

SMS Messaging Program

Program name: Nudge Invoice Reminders

Description: When you provide a customer phone number and enable SMS reminders, Nudge will send automated invoice payment reminder text messages to your customer on your behalf. Messages are sent before and after invoice due dates according to your configured reminder schedule.

• Message frequency: Varies based on your reminder schedule. Typically 2–5 messages per invoice.
• Message & data rates may apply.
• To stop receiving messages, reply STOP at any time.

SMS Consent Obligations

By enabling SMS reminders for any customer, you represent and warrant that:

• You have obtained that customer's prior express consent — verbally or in writing — to receive automated SMS payment reminders at the phone number provided.
• You have informed the customer that message and data rates may apply and that they may reply STOP at any time to opt out.
• You will maintain records of how and when consent was obtained for each customer for a minimum of five (5) years, consistent with TCPA requirements.
• You will promptly remove any customer from SMS reminders upon request or upon receiving an opt-out.

You acknowledge that JM Studio LLC (Nudge) sends SMS messages as a service provider acting on your instruction. You, not Nudge, are responsible for ensuring that all applicable federal and state laws — including the Telephone Consumer Protection Act (TCPA) — are complied with in connection with your use of the SMS feature. You agree to indemnify and hold harmless JM Studio LLC from any claims, fines, or liabilities arising from your failure to obtain proper consent before sending SMS messages through the platform.

Acceptable Use

You may not use Nudge to send spam, harass customers, or violate any applicable laws. We reserve the right to suspend accounts that abuse the reminder system.

Intellectual Property

Nudge and its underlying software, design, and content are owned by JM Studio LLC. You retain ownership of all invoice data and customer information you enter. By using the service, you grant JM Studio LLC a limited license to process that data solely to provide the service to you.

Termination

You may cancel your account at any time from the Settings screen. We reserve the right to suspend or terminate accounts that violate these terms, abuse the platform, or engage in fraudulent activity. Upon termination, your data will be retained for 30 days and then permanently deleted, unless a longer retention period is required by law.

Data and Privacy

Your use of the service is also governed by our Privacy Policy.

Disclaimers and Limitation of Liability

Nudge is provided "as is" without warranties of any kind. We do not guarantee that the service will be uninterrupted or error-free. To the maximum extent permitted by law, JM Studio LLC's total liability to you for any claims arising from use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for any indirect, incidental, or consequential damages, including missed payments or lost business.

Governing Law

These terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of Nudge shall be resolved in the courts located in Ohio.

Changes to Terms

We may update these terms occasionally. We will update the "Last updated" date at the top of this page. Continued use of the service after changes constitutes acceptance of the revised terms.
